Bevo’s management team will maintain substantial ownership in the combined company and work with Aurora to create the next generation of cannabis products. Bevo currently owns and operates 63 acres of greenhouses in British Columbia and sells its products to greenhouses, nurseries, field farms, and wholesalers throughout North America. The company has consistently generated revenue and earnings growth over the past decade. Its most recent financial results show growth of nearly 9 million adjusted EBITDA in the twelve months ending June 30, 2022. The company also exhibits seasonality in its business, with the strongest financial periods occurring from January to June.

The Aurora Sky Transaction is subject to certain third-party approvals and can result in up to $25 million payable to Bevo. The transaction was facilitated by Lazard Canada Inc. and Stikeman Elliott LLP. Bevo and Aurora also engaged the services of Agentis Capital Advisors and Fasken Martineau DuMoulin LLP.

Bevo’s management team retains substantial equity ownership

Bevo is a Canadian greenhouse company with 63 acres of production space and a team of experienced management that has more than 85 years of combined experience. The company supplies plants to greenhouses, nurseries, field farms and wholesalers. Over the past decade, Bevo has consistently increased its revenues and earnings. It is the largest supplier of propagated vegetables and ornamentals in North America. The company operates in a seasonal cycle, with its strongest financial period being January to June.

John McLaughlin is the Executive Vice President and Chief Financial Officer of Bevo. He joined the company in 2004, shortly after it went public. He has previously held positions with Air Liquide Canada and Unitor Ships Service. He has a Business Administration degree from Redeemer University and is a Chartered Professional Accountant.

During the merger, Bevo will also introduce a new business, CubicFarm Systems Corp., an agriculture technology business developed by its management team. CubicFarms plans to list on the TSXV as a separate company. In addition to the deal, Zenabis will maintain its stake through Zenabis Ventures. Ultimately, the merger will create a company with nearly 3.5 million square feet of production space.

Bevo’s innovative processes

Aurora is a Canadian company that has created and is defining the future of cannabinoids. Aurora recently acquired a controlling interest in Bevo Agtech Inc., which is the sole parent of Bevo Farms Ltd. Bevo is a leading supplier of ornamental plants and propagated vegetables in North America. It has also acquired Aurora Sky, a facility in Edmonton, Alberta.

Aurora will pay approximately $45 million for Bevo’s controlling interest. The deal is subject to certain third-party approvals. Bevo’s shareholders will receive $12 million in Aurora common shares. Before the transaction can close, Aurora must obtain the approval of the Toronto Stock Exchange.

Aurora’s common shares are traded on the NASDAQ and TSX under the symbol “ACB” and are a constituent of the S&P/TSX Composite Index. The company is a leading supplier of propagated agricultural plants in North America, with facilities located in Aldergrove and Pitt Meadows, BC. It sells its products to nursery and wholesalers across North America.

Bevo’s safety classification of SSCs

Safety classification is critical for ensuring the integrity of the systems that control nuclear power plants. This classification determines the importance of certain components and structures to safety, as well as their consequences if they fail. The classification criteria include probabilistic risk assessment data and prescriptive requirements. In addition, the safety classification criteria also determine the physical layout of systems in a plant.
